Bylaws

 

Article 1

Name, Mission, and Goals

 

Section 1.1 Name

The name of this association shall be the Utah Nurses Association, hereinafter referred to as UNA. The UNA is a Constituent Member Association (CMA) of the American Nurses Association, hereinafter referred as the ANA.

Section 1.2 Mission

The mission of UNA is to advocate, educate, and be a voice for nurses both individually and as a whole by promoting and facilitating the roles and functions of nurses in all areas of employment and in all aspects of professional practice. UNA strives to provide nurses with resources, including the education needed to promote ethical and high quality nursing care to all health care recipients, whether individuals, groups, or communities. We will abide by the Code of Ethics for Nurses.

 

Section 1.3 Goals 

The goals of UNA shall be:

1.3.1 professional development of nurses and high standards of nursing practice.

1.3.2 improvement and availability of health care and services for all individuals in Utah.

1.3.3 economic and general welfare of nurses.

Section 1.4 Objectives

To accomplish our mission and goals, UNA will be guided by the following objectives:

1.4.1 promote established standards of nursing practice, nursing education, and nursing service.

1.4.2 support the established code of ethical conduct for nurses.

1.4.3 support the system for credentialing in nursing.

1.4.4 initiate and influence legislation, governmental programs, local health policy, and state health policy.

1.4.5 support systematic study, evaluation, and research in nursing.

1.4.6 serve as the central agency for the collection, analysis, and dissemination of information relevant to nursing in Utah.

1.4.7 promote and facilitate the economic and general welfare of nurses.

1.4.8 promote leadership in local, state, regional, and national nursing issues.

1.4.9 provide for the professional development of nurses.

1.4.10 promote the principles of equality, fairness, safety, and justice in the workplace.

1.4.11 provide services and maintain communication with members

1.4.12 assume an active role as consumer advocate

1.4.13 represent and speak for the nursing profession with allied health groups; local, state, and national organizations; governmental organizations; and the public.

Article II

Membership

 

Section 2.1 Composition 

UNA shall be composed of individual members, Direct Individual Member – ANA (DIM-ANA), Direct Individual Member – UNA (DIM-UNA) herein referred to as members, each belonging to a District. UNA may have Organizational Affiliates as defined in Article VIII of these Bylaws.

Section 2.2 Qualifications 

2.2.1 Individual – an individual member with dual membership in UNA/ANA and is one:

2.2.1.1 who has been granted a license to practice as a registered nurse in at least one state, territory, or possession of the United States and does not have a license under suspension or revocation in any state, or has completed a nursing education program qualifying the individual to take the state-recognized examination for registered nurse licensure as a first-time writer with confirmation of licensure upon renewal.

2.2.1.2 whose dues are not delinquent

2.2.1.3 whose application has been accepted for membership

2.2.1.4 who may be an impaired nurse in recovery, who has voluntarily surrendered a license to practice

2.2.2 Responsibilities - individual members have an obligation to:

2.2.2.1 uphold the bylaws of UNA and ANA

2.2.2.2 abide by the Code of Ethics for Nurses and applicable ANA bylaws and policies as adopted by the ANA House of Delegates

2.2.2.3 pay dues as required

2.2.2.4 fulfill the requirements of an office or committee if elected or appointed

2.2.3 Rights - individual members have a right to:

2.2.3.1 receive notification of membership in the UNA and ANA.

2.2.3.2 receive ANA news periodical

2.2.3.3 receive UNA publications

2.2.3.4 be represented or hold voting seats in the UNA and ANA House of Delegates.

2.2.3.5 to attend the meetings of the ANA House of Delegates, the Convention, and other unrestricted ANA activities

2.2.3.6 attend the Congress of the International Council of Nurses

2.2.3.7 to submit proposals for consideration by UNA and ANA.

2.2.3.8 to submit the names of nominees for UNA and ANA elective and appointive positions in accordance with provisions of these bylaws and applicable policies.

2.2.3.9 a fair hearing before the Executive Committee prior to any disciplinary action being taken

        1. voice opinion on UNA proposals and position statement.

        2. continued membership in the ANA as provided in the ANA bylaws until such time

as 2/3 of the entire UNA membership votes to disaffiliate from the ANA. This vote may occur by mail or electronic ballot, with appropriate notice and procedures to protect the integrity and validity of the vote.

Section 2.3 District

2.3.1 Definition - a District is a group of registered nurses that:

2.3.1.1 is composed of individual members and DIM-UNA members each being a current UNA member, which serves a geographic area such as a county or group of counties.

2.3.2 Responsibilities – each district

2.3.2.1 has bylaws that govern its members and regulates its affairs.

2.3.2.2 has stated purposes and functions congruent with those of UNA and ANA.

2.3.2.3 provides delegates to the UNA House of Delegates

2.3.2.4 protects the individual rights of its members

2.3.2.5 promotes UNA and/or ANA

2.3.2.6 provides that individual members abide by the District, UNA, and ANA bylaws.

2.3.3 Rights – each district has the right to:

2.3.3.1 hold meetings and activities

2.3.3.2 organize chapters according to geographic proximity or specialty of interest

2.3.3.3 receive dues from UNA

2.3.3.4 public identification as a district of UNA

2.3.3.5 have an internet link to their district on the UNA web site

2.3.3.6 designate members to serve as delegates to the UNA House of Delegates

2.3.3.7 make reports to the UNA House of Delegates

2.3.3.8 submit names of registered nurse representatives qualified for appointment to committees, ad hoc groups and task forces

2.3.3.9 have space in the Utah Nurse or other UNA publications as established by the BOD and Policies and Procedures

 

Section 2.4 Direct Individual Member – ANA (DIM-ANA) 

An individual registered nurse may elect to join the ANA directly upon payment of dues established for individual members of which a portion shall be remitted to the ANA and the CMA. This membership option is contingent upon the agreement between UNA and the ANA for nurses licensed or recognized via an interstate compact in Utah. The direct individual member shall be entitled at the ANA House of Delegates through the Direct Individual Division (DIMD), which shall elect officers and the ANA delegates by secret mail ballot elections. The direct individual member shall be entitled to receive all other benefits of full membership

 

Section 2.5 Direct Individual Member – UNA (DIM-UNA)

An individual registered nurse may elect to join the UNA directly upon payment of dues established for individual members of which a portion shall be remitted to the UNA and ANA. This membership option is contingent upon the agreement between UNA and the ANA for nurses licensed or recognized via an interstate compact in Utah. The direct individual member shall be entitled to receive all other benefits of full UNA membership in accordance with these bylaws and applicable policies.

Article III

Dues 

Section 3.1 Amount of Dues

3.1.1 The UNA and ANA House of Delegates shall establish all dues.

3.1.2 The annual dues for a UNA/ANA member shall include the present rate of dues paid by the UNA to the ANA, with the remaining portion going to the UNA. In the event that the rate of dues payable to the ANA by the UNA is increased in the future, any

Such change shall be automatically added to the annual dues owed by the UNA/ANA member to the UNA, with a 30 day prior notice. Dues increases for the portion remaining with the UNA shall follow policies set within these bylaws.

 

Section 3.2 Notification of Change 

Members shall be notified in writing of any proposal to change the dues portion paid by UNA members, at least 90 days prior to the meeting of the UNA House of Delegates.

Section 3.3 Vote

A vote of two-thirds of the total delegate population shall be required to change the amount of dues portion that is paid by the member of the UNA.

 

Section 3.4 Payment

UNA and ANA dues shall be paid in accordance with policy adopted by the UNA and ANA House of Delegates. The UNA shall continue to pay dues to the ANA pursuant to the ANA bylaws and the House of Delegates policy until such time as 2/3 of the entire UNA membership votes to disaffiliate from the ANA. Additional dues shall not be required from, nor refunded to, individual members transferring from another ANA Constituent Member if the individual member has made full payment of dues.

Article IV

House of Delegates

 

Section 4.1 Definition

The UNA House of Delegates is the governing and official voting body of the UNA. The ANA House of Delegates is the governing and official voting body of the ANA.

Section 4.2 Composition

4.2.1. The UNA House of Delegates shall be composed of representatives from each District, which shall have one delegate for every ten members or portion of ten. Each District shall have a minimum of two representatives. The UNA House of Delegates shall also include:

4.2.1.1 the members of the UNA Board of Directors, with voting rights as provided in Section 4 of this Article (this includes the President and RN Executive Director or their designees)

4.2.1.2 one participant from each UNA Council who shall have voice and vote (vote is, however, only available to this UNA Council representative, if that person is also a UNA member).

4.2.1.3 one registered nurse participant from each UNA Organizational Affiliate who shall have voice but no vote.

Section 4.3 Authority

The UNA House of Delegates shall:

4.3.1. determine UNA policies and positions.

4.3.2 determine authority and define accountability for implementation of approved policies and positions of the UNA or ANA House of Delegates.

 

Section 4.4 Delegates

4.4.1 Qualifications: all delegates shall be accredited members of a District.

4.4.2 Term of Office: each delegate and alternate shall be appointed for a two-year term or until a successor is appointed.

4.4.3 Vacancies: vacancies shall be filled with alternates appointed by the District.

4.4.4 Voting Rights:

4.4.4.1 all duly appointed delegates shall have the right to vote in the UNA House of Delegates.

4.4.4.2 the members of the UNA Board of Directors who are not duly appointed delegates shall have the right to vote on all matters before the UNA House of Delegates.

Section 4.5 Meetings

4.5.1. The UNA House of Delegates shall meet at least once per calendar year; the time and place shall be determined by the Board of Directors

4.5.2 Members who hold seats in the UNA House of Delegates shall be notified in writing of a meeting of the UNA House of Delegates at least 45 days prior to the meeting.

4.5.3 A special meeting of the UNA House of Delegates may be called by:

4.5.3.1 a two-thirds vote of the Board of Directors

4.5.3.2 the President upon written request from a majority of the delegates

Section 4.6 Quorum

A quorum for transaction of business by the UNA House of Delegates shall consist of 50 percent of the total delegate population, representing a majority of the delegate members, and five members of the Board of Directors, one of whom shall be the President or a Vice-President.

Article V

Board of Directors

Section 5.1 Definition

The Board of Directors is the corporate body composed of officers and directors elected by the UNA membership.

Section 5.2 Composition

The Board of Directors shall consist of UNA elected officers and directors, each of whom shall be an individual member of a District

5.2.1. There shall be six officers: President, First Vice-President, Second Vice-President, Secretary, Treasurer, and a member from the Cabinet on Economic and General Welfare. President-Elect and Immediate Past President shall sit as ex-officio officers, unless they hold a concurrent office on the Board of Directors.

5.2.2 There shall be one District President or designee representing each District.

5.2.3 The Board of Directors shall provide a seat to the chairperson or designee of each Standing Committee who shall have voice and vote.

5.2.4 There shall be one representative from each Association Affiliate with voice and vote.

 

Section 5.3 Authority

The Board of Directors shall have authority delegated by the UNA House of Delegates, including the duty and power of acting for the membership in the intervals between meetings of the UNA House of Delegates, and other duties and powers as defined in these bylaws. Association Affiliates have the right to vote on issues but not on dues structures or UNA officers.

Section 5.4 Nominations and Election for Office

5.4.1 Nominations: Candidates for office shall meet the established qualifications and shall consent to serve if elected.

5.4.1.1 Candidates will be valid members of the UNA.

5.4.1.2 An individual member of the UNA who an elective office may declare as a candidate by writing to the Nominating Committee.

5.4.1.3 The slate of candidates shall be communicated to UNA members not less than 60 days prior to the annual meeting of the House of Delegates. Candidates will be introduced at HOD and have an opportunity for questions & answers. Campaigning will not be allowed in meetings of the HOD at any time.

5.4.1.5 A formal campaign period from the first publication of the nominated slate of candidates until the closure date of election ballot receipt shall be allowed.

5.4.1.6 Nominations from the floor and write-in candidates will be accepted according to standard rules of procedure.

 

5.4.2 Elections:

5.4.2.1 Elections shall be held by a secret ballot

    5.4.2.2 Except for elections of the Cabinet on Economic & General Welfare and the Committee on Economic & General Welfare Nominations ballots will be placed in the mail to all individual members of the UNA one week following the close of business at the annual HOD meeting. Ballots shall be postmarked no later than the 30th day following the mailing date which will be the closing of the election period. Ballots shall be counted by an outside, non-nurse party and be certified as correct.

    5.4.2.3 A plurality vote shall constitute an election. In case of a tie, the choice shall be by lot.

5.4.3 Assumption of Duties:

    5.4.3.1 Individuals on the ballot will be notified in writing of the election results prior to publication.

    5.4.3.2 Elected individuals will assume the duties of their position the first day of January following the election.

    5.4.3.3 A formal orientation will be provided.

5.4.4 Challenge:

    5.4.4. Any challenge to the election process shall be filed in writing with the UNA Executive Board no more than 30 days after the closing of the election period.

    5.4.4.2 The Executive Board shall review the complaint immediately and declare the results on hold.

    5.4.4.3 Two appointed members of the Executive Board and three members of the Nominating Committee will investigate the complaint and submit findings in writing to the Executive Board.

    5.4.4.4 The Executive Board will notify the membership of the complaint and resolution. In the event the complaint is valid, the elections will be declared void.

    5.4.4.5 Legal counsel shall determine the next course of action.

5.4.5 Disciplinary Proceedings:

    5.4.5.1 Elected individuals may be removed from office by the UNA membership for cause (i.e. misconduct or neglect of duty in office).

    5.4.5.2 The membership may address disciplinary proceedings during the meetings with parliamentary law: points of order may be invoked; private discussion may be held; voting no confidence- requires a majority vote; censuring- requires a majority vote; or removal from office-this is done through a motion to rescind and must have a two-thirds majority.

 

Section 5.5 Accountability

The Board of Directors shall report and be accountable to the UNA House of Delegates

Section 5.6 Responsibilities  

The Board of Directors shall:

5.6.1 exercise the corporate responsibility and fiduciary duties of the Association consistent with applicable provisions of law.

5.6.2 provide for implementation of Association policies and positions approved by the UNA House of Delegates.

5.6.3 establish policies and procedures for the transaction of business, coordination of Association activities, and operation and maintenance of a state headquarters.

5.64 establish financial policies and procedures, adopt the budget, submit all books to a certified public accountant for audit as deemed necessary, and present an annual financial statement to the membership of the UNA House of Delegates.

5.6.5 establish policies and procedures for approving publications and other printed materials prior to their distribution.

5.6.6 establish policies and procedures for the collection, analysis, and dissemination of information.

5.6.7 establish policies and procedures for nominations and elections, except for the Cabinet on Economic and General Welfare.

5.6.8 establish standing and special committees of the Board as deemed necessary for the performance of its duties, and define the purpose and authority of such committees.

5.6.9 make appointments and fill vacancies as delegated to the Board in these bylaws except for the Cabinet on Economic and General Welfare.

5.6.10 define qualifications for appointive office unless otherwise specified in these bylaws, except for the Cabinet on Economic and General Welfare.

5.6.11 appoint, define the authority and responsibilities of, and annually review, the performance of the Executive Director as the chief executive officer.

5.6.12 confer District Membership on groups meeting qualifications established by these bylaws.

5.6.13 grant Organizational Affiliate status in accordance with these bylaws.

5.6.14 establish fees for Organizational Affiliates.

5.6.15 establish fees for conventions, specified activities, and services.

5.6.16 control the use of the official UNA insignia and the procurement and sale of replicas thereof.

5.6.17 ensure the maintenance of a state archive for the collection and preservation of documents and other materials that have contributed to, and continue to contribute to, the historical and cultural development of nursing in Utah.

5.6.18 provide for UNA liaison or representation at meetings of voluntary organizations and of public or governmental agencies.

5.6.19 establish relationships and collaboration with the Utah Student Nurses Association.

5.6.20 work in collaboration with the Utah Nurses Foundation and function in the capacity as specified in the bylaws of the Utah Nurses Foundation.

5.6.21 work in collaboration with the Utah Nurses Political Action Committee (UN-PAC) as specified in the bylaws of UN-PAC.

5.6.22 establish the mechanism to advocate for and to protect the human rights and ethical concerns of the nursing profession in Utah.

5.6.23 establish and dissolve Councils in accordance with these bylaws.

5.6.24 assume other duties as may be provided for elsewhere in these bylaws and by the UNA House of Delegates.

Section 5.7 Term of Office

5.7.1 Officers shall be elected in different years to serve for two years or until their successors are elected.

5.7.2 The President-Elect shall be elected every other year to serve for one year in that capacity prior to assuming the two-year term as President.

5.7.3 The Second Vice-President and Secretary will be elected the same year, but in a year different than that in which the First Vice-President and Treasurer are elected.

5.7.4 The First Vice-President, Treasurer, and President-Elect will be elected in the same year, but in a year different from that in which the Second Vice-President and Secretary are elected.

5.7.5 No officer or director shall serve more than two consecutive terms in the same office nor more than eight consecutive years on the Board of Directors. An officer or director who has served one-half term or more shall be considered to have served a full term.

Section 5.8 Qualifications

To be eligible to serve on the UNA Board of Directors, a person shall:

5.8.1 Board of Directors

5.8.1.1 hold current and consecutive membership in UNA for two years

5.8.2 President

5.8.2.1 in addition to above qualifications, the Presidential candidate must have held a leadership position, for at least one year, in UNA within the last 5 years

5.8.3 not concurrently serve as an officer or director of another organization if such participation might result in a conflict of interest with UNA

Section 5.9 Vacancies

In the event of vacancy:

5.9.1 in the office of the president, the President-Elect shall become the president. However, in the year when there is no president-elect, the first vice-president shall become the president for the remainder of the calendar year.

5.9.2 in the office of First Vice-President, the Second Vice-President shall become the First Vice-President for the remainder of the term.

5.9.3 in the office of another elected officer, the Board of Directors shall fill the vacancy by appointment until the next election (even if this election was not the scheduled one for this particular office). At that time, such vacancy shall be filled by election. The term of office for this election would be for the period between the election of the officer until the next regularly scheduled election for that office.

Section 5.10 Duties of Officers

5.10.1 The President of UNA shall serve as the official representative of the Association and as its spokesperson on matters of Association policy and positions; as the Chair of the UNA House of Delegates, the Board of Directors, and the Executive Committee of the Board of Directors; and as an ex-officio member of all committees except the Nominating Committee, the Cabinet on Economic and General Welfare and the Committee on Economic and General Welfare Nominations. As designated by the Board of Directors, the President may appoint Standing Committees of the Board of Directors and may fulfill other duties. The President shall serve as representative to the ANA Constituent Assembly.

5.10.2. The Vice Presidents, in order of rank, shall assume duties of the President in the Presidents absence or at the direction of the President.

5.10.3 The Secretary shall be responsible for ensuring that records are maintained of meetings of the UNA House of Delegates, the Board of Directors, and the Executive Committee.

5.10.4 The Treasurer shall be Chair of the Finance Committee.

5.11.4.1 responsible for monitoring the fiscal affairs of the Association

5.11.4.2 provide reports and interpretations of UNA’s financial condition to the UNA House of Delegates, the Board of Directors, and the membership.

5.10.5 Officers and directors shall fulfill the responsibilities of the Board of Directors as defined in these bylaws.

 

Section 5.10 ANA/Center for American Nurses (CAN) Delegates

Individual members of UNA shall elect ANA/CAN delegates and alternates by secret ballot for a one-year term. ANA/CAN delegates shall be elected as reinstated for their second year and serve until a successor is elected. The President and President Elect shall serve as elected ANA delegates for terms of one year, during the term of presidency. UNA President and Executive Director may designate a representative to the ANA/CAN Constituent Assembly when they cannot attend the meeting.

5.13.4 The Executive Director may represent the Association and serve as spokesperson on matters of established policy and positions.

5.13.5 The Executive Director shall serve as representative to the ANA Constituent Assembly.

Section 5.14 Meetings

5.14.1 Meetings of the Board of Directors shall be held at least quarterly. Special meetings may be called by the President if requested.

5.14.2 Business requiring action by the Board of Directors may be conducted by mail or other media. Such action shall be subject to ratification at the next regular meeting of the Board of Directors.

5.14.3 Absence from two consecutive regular meetings of the Board of Directors shall be cause for declaring a vacancy in the Board position. Such vacancy shall be determined by a majority of the Board.

Section 5.15 Quorum

A majority of the Board of Directors, including the President or a Vice-President, shall constitute a quorum of any meeting of the Board of Directors

Article VI

Standing Committees

Section 6.1 Definition

There may be Standing Committees of the UNA House of Delegates which include, but are not limited to, the following: Nominating, Bylaws, Finance, Membership, Government Relations, Convention, and Continuing Education Committee. Other Standing Committees may be established by the Board of Directors or UNA House of Delegates. 

Section 6.2 Composition and Term of Office

6.2.1 Nominating Committee:

    6.2.1.1 shall be composed of four individual members with at least one individual member from each District .

6.2.1.1.1 Nominating Committee members shall be elected for a two-year term.

6.2.1.1.2 Two members shall be elected in odd numbered years and two members shall be elected in even numbered years.

6.2.1.1.3 The Committee shall elect a chair from those members serving their second year of their term. The chair shall represent the committee on the Board of Directors with voice but no vote.

6.2.2 One hundred twenty (120) days prior to the expiration of office, the Nominating Committee shall send to the membership of UNA, names of those UNA Executive Committee members whose terms of office will expire at the next election period, indicating those eligible for reelection. This information, together with the names of the Nominating Committee and other specific information in this document, shall be published in the official UNA publication. This committee is separate from the Committee on Economic and General Welfare Nominations

6.2.3 Finance Committee

    6.2.3.1 The Finance Committee shall be composed of the Treasurer, President-Elect, Executive Director, and representatives from each of the Districts, and at least one other standing committee.

6.2.3.1.1 The Treasurer shall serve as the chair of the committee.

6.2.3.1.2 The Executive Director shall serve as the resource for the financial detail as requested by the committee.

6.2.3.1.3 Representatives from the Districts and the committees shall serve for two-year terms and may not serve for more than two terms consecutively.

    6.2.3.2 The Finance Committee shall report to the Board of Directors at regularly scheduled meetings and to the House of Delegates at the Annual Meeting.

6.2.4 Other Standing Committees: Composition and terms of office of all other Standing Committees shall be established by the Board of Directors and in conjunction with the Standing Committee Chairs.

Section 6.3 Accountability

Standing Committees shall be accountable to the UNA House of Delegates and submit timely reports to the Board of Directors.

Section 6.4 Vacancies

6.4.1 Unexcused absence of Standing Committee Chairs from two consecutive Committee meetings may be cause for declaring a vacancy in the position. Such vacancy may be determined by a majority of the Board of Directors.

6.4.2. A vacancy on the Nominating Committee shall be filled by the alternate receiving the highest number of votes.

Section 6.5 Responsibilities

The responsibilities of the Standing Committees shall be established by the Board of Directors in conjunction with the Standing Committee chairs as per the Policies and Procedures Manual

Article VII

Cabinet on Economic and General Welfare

 Section 7.1 Function

The function of the Cabinet on Economic and General Welfare is the pursuit of protecting both the professional and economic interests of nurses advocating that nurses receive fair pay, good benefits, and satisfactory working conditions.

Section 7.2 Composition

7.2.1 The Cabinet on Economic & General Welfare (hereinafter referred to as the Cabinet) shall be representative of nurses in both the private and public sectors.

7.2.2 In order to become eligible for election to this Cabinet, or to remain in office, a member must be in a bargaining unit represented by United American Nurses (UAN), or be eligible for representation by UAN in collective bargaining. An individual whose position has been, or could be, deemed ?supervisory? by an administrative agency or court of competent jurisdiction shall be ineligible for filling any position on the Cabinet on Economic & General Welfare.

7.2.3 The Cabinet shall be composed of five members who shall be elected according to the procedures set forth in this Section.

Section7. 3 Term of Office

7.3.1 Elections of Cabinet members shall be for a two-year term commencing in January of the year following elections, or until successors have been appointed.

7.3.2 Two members of the Cabinet shall be elected in even-numbered years and three members shall be elected in odd-numbered years.

Section 7.4 Responsibilities

7.4.1 Evaluate trends, developments, and issues in its area of responsibility.

7.4.2 Establish a plan of operation for carrying out its responsibilities.

7.4.3 Recommend policies and positions to the Board of Directors and the membership.

7.4.4 Provide for dissemination of information, as appropriate.

7.4.5 Accountable to the UNA Executive Director.

7.4.6 Provide reports to the UNA Board of Directors.

Section 7.5 Vacancies

7.5.1 The absence of a Cabinet member from two consecutive meetings of the Cabinet in a year may constitute a resignation at the discretion of the Cabinet.

7.5.2 The Cabinet on Economic & General Welfare shall be authorized to fill vacancies on the Cabinet on Economic & General Welfare, the Committee on Economic & General Welfare Nominations, and the UNA Representative (or delegate) to the ANA United American Nurses (UAN) Labor Assembly.

Section 7.6 Elections

7.6.1. Only UNA members who are represented by UAN for purposes of collective bargaining or who are eligible for such representation shall cast ballots in elections for the Cabinet on Economic & General Welfare nominations.

7.6.2 There shall be established a three-member Committee on Economic & General Welfare Nominations. The restrictions set forth above concerning eligibility for the election to the Cabinet on Economic & General Welfare, and for casting ballots in such elections shall apply equally to members of this nominating committee. The election of Committee on Economic & General Welfare Nominations shall be for a two-year term or until successors have been appointed or elected. No person shall serve two consecutive terms on the Committee on Economic & General Welfare Nominations.

7.6.3 The Committee on Economic & General Welfare Nominations shall prepare a ballot of two or more nominations for each vacancy on the Cabinet on Economic & General Welfare and the Committee on Economic & General Welfare Nominations, and the UNA Representative (or delegates) to the ANA (UAN) Labor Assembly.

7.6.4 The UNA Representative (or delegate) to the ANA UAN Labor Assembly shall serve for a two-year term or until a successor is designated, and shall be a member of a UNA bargaining unit or be eligible for representation by UAN in collective bargaining throughout the term of office on the ANA UAN Labor Assembly, and shall be a member of the Cabinet on Economic & General Welfare or have served as such member within six years of the date of the election. No individual may serve more than four consecutive terms as a representative (or delegate) to the UAN Labor Assembly.

Section 7.7 Dues and Fees

The Cabinet on Economic & General Welfare activities shall be funded from dues and fees paid to UNA. Further, the Cabinet may generate additional revenue for these activities by assessment of UNA members who are represented by UAN for purposes of collective bargaining or who are eligible for such representation beyond UNA dues and fees in a manner provided by law.

 

Article VIII

Organizational Affiliates

Section 8.1 Definition

An Organizational Affiliate of UNA is an association that:

    8.1.1 is a local or state chapter of a national healthcare organization whose membership is comprised of a majority of nurses and the Utah Student Nurses Association

    8.1.2 has been granted Organizational Affiliate status by the UNA Board of Directors.

    8.1.3 has paid an organizational fee to UNA as established by the UNA Board of Directors. The Board of Directors may waive the fee with a two-thirds vote. 

Section 8.2 Benefits

Each Organizational Affiliate shall be entitled to:

8.2.1 Public identification as an Affiliate of UNA.

8.2.2 One registered nurse participant who will have voice and vote on all matters in the HOD except for dues, amendment of bylaws and the election of officers and directors.
